Our non-profit and charitable planning practice is focused on forming new non-profit organizations, advising operating charities and helping families achieve their philanthropic goals by assisting them in planning for charitable gifts. We help you navigate the very technical IRS rules governing tax-exempt organizations and charitable giving so that you can focus on making sure your charitable dollars do the most good for the most people. Our non-profit and charitable planning services include:
- Formation of new charitable organizations of all kinds including private grant-making foundations, private operating foundations, public charities, supporting organizations, Section 501(c)(4) social welfare organizations, and Section 501(c)(6) chambers of commerce and business leagues and Section 501(c)(7) social clubs
- Structuring charitable gifts including charitable remainder trusts, charitable lead trusts, charitable gift annuities, scholarships and other restricted gifts, donor advised funds and private foundations
- Advising tax-exempt organizations regarding state and federal governance and compliance issues such as state reporting requirements, including annual reports, charitable solicitations, board structure, policies and duties of directors and officers
- Providing advice regarding the “private foundation rules” including minimum distribution requirements, self-dealing rules, excess business holdings and taxable expenditures
- Assisting organizations in creating affiliates, transition including converting organizations from for-profit to non-profit, or non-profit to for-profit, changing their tax-exempt character from private foundation to public charity, mergers, acquisitions and dissolutions
- Providing advice regarding political activities, including lobbying and unrelated business income tax (UBIT)
- Assisting organizations in obtaining and maintaining state and local property and sales tax exemptions
